Definitions

Client means any individual or business using Dealer Edge LLC Services
Services refers to the Dealer Edge LLC software, website, and support tools

Eligibility and Access

You must be at least 18 years old and authorized to use Dealer Edge LLC on behalf of a business
Use the platform only for lawful dealership business
Not share login credentials or misuse the system
Provide accurate, complete information

Subscription and Billing

Services are subscription based and billed monthly
Fees are non refundable unless otherwise specified
Failure to pay may result in suspended or terminated access

Intellectual Property

All Dealer Edge LLC content, software, and branding are owned by Dealer Edge LLC and protected by intellectual property laws
You may not copy, distribute, or reverse engineer our software
You may not use our trademarks without permission

Prohibited Activities Automated Access and Scraping

No automated scripts, bots, crawlers, scrapers without express written consent
No harvesting, downloading or collecting data through automated means
No reverse engineering or copying functionality
No use of the platform to build a competing product

Data Rights and Usage

You retain ownership of your dealerships data
You authorize Dealer Edge LLC to access and process data to deliver the Services
We may use aggregated, anonymized data for system improvement
A Data Processing Addendum DPA is available upon request

Indemnification

You agree to indemnify Dealer Edge LLC for any claims, losses, or damages arising from misuse, legal violations, or data issues caused by you

Limitation of Liability

Total liability is capped at the lesser of 10000 or 3 months of fees
No liability for indirect or consequential damages
Services are provided as is and as available with no warranties

No SLA or Warranty of Uptime

Dealer Edge LLC does not guarantee specific uptime or performance levels unless agreed in writing

Force Majeure

Dealer Edge LLC is not liable for events beyond its control including natural disasters and internet outages

Termination

Either party may terminate with 30 days notice
Dealer Edge LLC may suspend service for breach or non payment
Data will be retained per legal retention requirements

Governing Law and Dispute Resolution

Governed by the laws of Texas
Disputes resolved through binding arbitration under AAA Commercial Rules in Harris County Texas
Class action participation is waived
